TERMS AND CONDITIONS:

WARRANTY:

ANY WARRANTIES ON THE PRODUCTS SOLD BY H&D DISTRIBUTORS, INC. (H&D) ARE SPECIFICALLY LIMITED TO THOSE MADE BY THE MANUFACTURERS OF THOSE PRODUCTS. H&D HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES, EITHER EXPRESSED OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. H&D NEITHER ASSUMES NOR AUTHORIZES ANY OTHER PERSON TO ASSUME FOR IT ANY LIABILITY IN CONNECTION WITH THE SALE OF ITS PRODUCTS.

IN NO EVENT SHALL H&D BE LIABLE TO BUYER FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES INCLUDING (WITHOUT LIMITATION) REMOVAL OR INSTALLATION COSTS, LOST PROFITS, COSTS OF DELAY, PERSONAL INJURY, PROPERTY DAMAGE OR LIABILITIES TO BUYER OR THIRD PARTIES ARISING FROM ANY SOURCE. THIS LIMITATION ON DAMAGES SHALL APPLY TO ALL PRODUCTS SOLD BY H&D  IN THE EVENT, THAT, NOTWITHSTANDING THE TERMS OF THIS SECTION, H&D IS FOUND LIABLE FOR DAMAGES BASED ON ANY DEFECT OR NONCONFORMITY IN PRODUCTS SOLD BY IT, ITS TOTAL LIABILITY FOR EACH DEFECTIVE OR NONCONFORMING PRODUCT SHALL NOT EXCEED THE PRICE PAID BY THE BUYER FOR SUCH DEFECTIVE PRODUCT.

RETURN POLICY:

Returns must be accompanied by a Returned Material Authorization “RMA” number. An inside sales representative can provide this number after a brief telephone conversation about the return.

Returns are subject to verification that the parts are in “like new condition” suitable for re-sale and that the parts were sold by H&D to the customer returning them within the past 30 days.

Returns received within 30 days after date of sale of “standard parts” in good condition that can be re-sold from our stock will be subject to a 20% re-stock fee off the original sales price excluding taxes, freight charges or any other related charges.  The return must be accompanied by an approved RGA number.

We will not accept returns after 30 days after date of sale.

Returns of customer specific parts or special order parts will generally not be accepted back for credit, but will be handled on an individual basis. There will be some cases where a part is not a “normal stock item” i.e. some obscure kits or seals. These parts will fall into this category and will be properly evaluated before determined as a returnable item.

Please allow up to 14 days after parts are returned for credit to be issued. 

CREDIT POLICY:

Open accounts will be granted after an approved H&D credit application has been filled out, submitted, acceptable credit check completed (by H&D credit department) and approved by H&D management. Payment terms extended for all open accounts are Net 30 days. H&D reserves the right to place accounts that are 15 or more days past due on credit hold. Accounts that are over 30 days past due may be turned over for collection. Past due accounts will be in jeopardy of losing their open account status and privileges.

SALES TAX:

H&D applies Sales/Use Tax at shipping. To avoid incorrectly being charged Sales Tax, it is the purchaser’s responsibility to ensure H&D has a copy of a valid Sales Tax Certificate prior to orders being shipped.  H&D does not currently collect Sales/Use Tax in all states.  If H&D did not charge Sales/Use Tax on a purchase, depending on state law, the purchaser may be required to pay tax directly to the state.

 

BACKORDER POLICY:

Backorders will ship as ordered and additional freight charges will apply. Cancellation of backorders must be requested by customer and approved by H&D to avoid additional freight charges.

SHIPPING POLICY:

All domestic shipments from H&D are shipped “Free on Board” (FOB) H&D This means that ownership passes from H&D to the customer at the time the shipment is picked up at H&D’s dock.  H&D is not responsible for damage that may occur during shipment or for delays that may occur during shipment or for delays that may be incurred due to loss or late delivery from the carrier. Our export shipping terms are Ex Works (EXW) H&D’s dock.
